1. Introduction

Welcome to Tunnme, a platform operated by KO Technologies LLC (“Tunnme,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access and use of Tunnme’s website, platform, and related services (the “Services”). By creating an account, accessing, or using Tunnme, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the platform.

2. Who We Are

Tunnme connects Earners (creators, experts, or professionals) who publish video content, with Learners who purchase and watch it. We provide the technology and payment infrastructure but are not the direct provider of the educational or informational content offered by Earners.

3. Eligibility

Tunnme is intended solely for individuals who are at least eighteen (18) years old. You must be at least 18 years old to

create or maintain an account;
purchase paid content or services on Tunnme;
participate in paid live sessions;
register or operate as an Earner (creator);
upload, monetize, or sell content;
receive payouts or monetize content through the platform.

By creating an account, purchasing content, participating in paid services, or becoming an Earner, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into these Terms. If Tunnme becomes aware that a user does not meet the applicable minimum age requirements, we may suspend or terminate the account and remove associated data where required by applicable law.

4. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree not to share or sell your account access.
Tunnme may suspend or terminate accounts involved in fraudulent, misleading, or illegal activities.

Certain profile fields, such as gender or content preferences, are optional. Where such fields are provided, users may select “Prefer not to say” or update this information at any time in their account settings.

5. Description of Services

Tunnme may offer different types of content and services, which may evolve over time at Tunnme’s sole discretion.

For Learners:

On-Demand Video Content

You can browse and purchase video content created by Earners. Each video purchase grants at least 12 months of streaming access from the purchase date. Videos are for streaming only and cannot be downloaded.
After the guaranteed access period, Tunnme may remove or deactivate videos from the platform for operational, policy, or storage reasons. In such cases, Learners will be notified in advance through the platform or by email before the content is permanently removed or expires.

Live Video Sessions (Video Conferencing Services)

Tunnme may offer access to live or scheduled video-based interactions with Earners, which may include:

One-on-One Sessions: Private video calls between a Learner and an Earner.
Group Sessions: Video sessions involving one Earner and multiple Learners (e.g., classes, workshops, or events).

These services may not yet be available at the time of your use of the platform and may be introduced progressively as part of Tunnme’s platform features. By participating in live sessions, you acknowledge and agree that:

Sessions are time-based services and may not be recorded or made available for replay unless explicitly stated.
Availability, duration, pricing, and format are determined by the Earner and displayed prior to booking.
If an Earner fails to attend a scheduled session, remedies (including possible refunds or rescheduling) will be handled in accordance with Tunnme’s Refund Policy.
Learners are responsible for ensuring they have the necessary equipment, internet connection, compatible devices, and environment to participate in live sessions.
Learners are responsible for attending sessions at the scheduled time. Missed sessions may not be refundable, except as required by applicable law or as expressly stated in the platform’s Refund Policy. Refund eligibility for live sessions, including cancellations or technical issues, is governed by Tunnme’s Refund Policy.
Tunnme is not responsible for the quality, accuracy, or outcomes of live sessions delivered by Earners.
Sessions may be cancelled, rescheduled, or unavailable due to Earner availability, technical issues, or other operational reasons.
Tunnme is not responsible for technical failures, connectivity issues, or interruptions that may affect the session experience.

Tunnme reserves the right to monitor, record (where disclosed), or restrict access to live sessions for safety, compliance, or operational purposes.

For Earners:

You can provide different types of services through your Earner account, including:

On-Demand Video Content

You can upload, price, and manage your video content through your Earner account.
Access to creator tools requires an active membership plan. Tunnme currently offers a monthly membership priced at USD 10.99, which renews automatically every month and grants access to upload, host, and sell video content through the platform.
In the future, Tunnme may introduce additional membership tiers with different pricing, benefits, and technical limits — such as total hours of uploaded video, number of active videos, or access to advanced features. Each plan’s details and restrictions will be clearly displayed on the platform at the time of purchase or upgrade.
Any change to membership pricing or plan features will be communicated in advance and will apply only to future billing cycles.
If you cancel your membership, your videos will no longer be available for new purchases once your current billing cycle or any applicable grace period has ended. During that time, you will still retain access to your dashboard and content management tools.
After the grace period expires, your videos will be temporarily hidden from public view and may be permanently deleted from our servers in accordance with Tunnme’s data retention and storage policies. You will not be able to upload new content or access creator analytics while your membership remains inactive.
If your videos are deleted due to prolonged inactivity, you will need to re-upload them upon reactivation of your membership.
Existing Learners will continue to have access to any videos they previously purchased for at least 12 months from the original purchase date.
After this guaranteed access period, Tunnme may remove or deactivate videos for operational, policy, or storage reasons. In such cases, Learners will be notified in advance through the platform or by email before permanent removal.

Live Video Sessions (Video Conferencing Services)

Earners may be given the ability to offer live video-based services, including one-on-one or group sessions. This functionality may be released progressively and may not be available to all users at all times. When enabled, Earners will be responsible for defining session terms, availability, and pricing, as displayed on the platform. By offering live sessions, you agree that:

You are solely responsible for the content, delivery, and quality of each session.
You must clearly define session details, including duration, pricing, and any requirements, before making the session available for booking.
You are responsible for attending sessions at the scheduled time and delivering the agreed service.
Repeated cancellations, no-shows, or poor service quality may result in restrictions or removal from the platform.
Earners acknowledge that Tunnme does not guarantee minimum demand, bookings, or revenue from live sessions.
Tunnme does not act as an employer, agent, or representative of Earners in connection with live sessions.

Tunnme may provide scheduling, communication, and payment tools to facilitate these sessions but does not guarantee session outcomes or participant satisfaction. Tunnme may introduce new features, tools, or service formats over time.

6. Payments and Fees

All payments are processed securely through Stripe or other approved payment processors. Tunnme does not guarantee uninterrupted access to payment services provided by third parties such as Stripe. Learners pay the total amount displayed at checkout, which includes the price set by the Earner plus a platform fee that supports the operation and development of Tunnme. Earners pay a monthly membership fee of USD 10.99 to publish and monetize their content. Payments are non-refundable except as outlined in our Refund Policy. Tunnme reserves the right to adjust fees, introduce new charges, or modify pricing structures in the future with prior notice to users. 6A. Platform Role, Payment Flow, and Compliance Requirements Platform Role Tunnme provides the digital infrastructure that enables Earners to publish content and Learners to purchase access to that content. Tunnme is not a bank, money transmitter, escrow service, or financial institution. Tunnme does not hold, store, intermediate, or control Learner funds at any time. All payment processing and fund movement is performed directly by Stripe, our third-party payment processor. Tunnme does not guarantee that Earners will generate any level of income or sales through the platform. Tunnme does not guarantee the availability, scheduling, or successful completion of any live session, which are provided solely by Earners and are outside of Tunnme’s direct control.

Payment Processing & Fee Structure (Markup Model)

For each piece of content or service, the Earner sets a base price. Tunnme may add a platform fee on top of that base price, and the Learner pays the full price displayed at checkout. Unless otherwise indicated in the platform, the Earner’s expected earnings for any content or service are based on the base price they set, less any applicable Stripe processing fees, chargebacks, reversals, or taxes that may apply. Tunnme receives the platform fee and does not guarantee that the Earner will receive a fixed percentage of the final price paid by the Learner. Stripe may also charge additional fees for: – currency conversions – international payouts – routing and payout delivery – compliance reviews – chargeback handling – card scheme variations Earners are responsible for any such fees charged by Stripe. Earners acknowledge and agree that such fees may reduce the net amount they receive in payouts and that these fees are determined solely by Stripe.

Payout Scheduling (Controlled by Tunnme)

Tunnme may determine the payout schedule for Earners. This may include holding funds for a certain period after a purchase to prevent fraud, allow for dispute resolution, address Learner complaints, or comply with platform policies. Tunnme controls when earnings become eligible for payout, but Stripe controls the execution and settlement of payouts once they are released. After funds are released by Tunnme, Stripe determines:

actual payout timing
banking/processing delays
verification holds
risk-related reserves

Tunnme is not responsible for payout delays or holds imposed by Stripe.

KYC, AML, and Compliance Requirements

Earners must complete all identity verification (KYC), tax documentation, and compliance checks required by Stripe before receiving payouts. This onboarding and verification may be presented inside the Tunnme interface but is operated and controlled by Stripe. Tunnme does not conduct independent KYC/AML reviews and relies entirely on Stripe’s compliance procedures. Failure to complete Stripe verification may result in delayed, restricted, or blocked payouts. By enabling payouts and connecting a payout method, you also agree to be bound by Stripe’s Connected Account Agreement and any other terms required by Stripe for payouts in your region. If Stripe updates its terms, your continued use of payouts constitutes acceptance of those updated terms.

Transaction Monitoring

Tunnme may monitor transactions and account activity for: – fraud or suspicious behavior – unusual patterns – attempts to bypass platform fees – chargeback abuse – prohibited content or illegal activity Tunnme may suspend accounts, pause payouts, or restrict services if suspicious or prohibited activity is detected. Updating Payout Details Earners must update their payout and banking information only through the Stripe-powered onboarding and account management screens accessible from within Tunnme. Tunnme support will never ask you to share full bank account numbers, routing numbers, or card numbers via email, chat, or other insecure channels. If you receive such a request, you should treat it as suspicious and contact Tunnme immediately.

Chargebacks and Payment Disputes

Earners are solely responsible for any chargebacks, reversals, refunds, or disputes initiated by Learners. If a chargeback occurs, Stripe may deduct the disputed amount, chargeback fee, and any related costs from the Earner’s future payouts. Tunnme is not liable for chargebacks or financial losses resulting from disputes.

Third-Party Payment Provider Contingency

Tunnme’s payment infrastructure currently relies on third-party providers, including Stripe, to process payments and facilitate payouts to Earners. In the event that Stripe or any other payment provider suspends, restricts, or terminates its services to Tunnme or its Users, Tunnme may temporarily suspend payouts, delay transactions, or restrict certain payment-related functionalities until an alternative solution is implemented. Tunnme will make commercially reasonable efforts to identify and integrate an alternative payment provider or solution; however, Tunnme does not guarantee the availability, timing, or continuity of such alternative services. Tunnme shall not be liable for any losses, delays, or inability to receive payments resulting from actions or decisions taken by third-party payment providers.

7. Membership Plans

Creator Membership Plans Earners must maintain an active membership plan to publish and monetize their content on Tunnme. Tunnme currently offers a monthly membership priced at USD 10.99, which renews automatically each month and grants access to upload, host, and sell video content through the platform. In the future, Tunnme may introduce additional membership tiers with different pricing, benefits, and technical limits — such as total hours of uploaded video, number of active videos, or access to advanced features. Each plan’s details and restrictions will be clearly displayed on the platform at the time of purchase or upgrade. Any change to membership pricing or plan features will be communicated in advance and will apply only to future billing cycles.

Cancellation and Access Period

If you cancel your membership, the cancellation will take effect at the end of your current billing cycle. You will continue to have access to your account, dashboard, and content management tools until the end of the billing period already paid. Tunnme does not provide any additional grace period beyond the active billing cycle unless expressly stated otherwise. Once the billing cycle ends:

your content will no longer be available for new purchases;
you will not be able to generate new sales;
access to creator tools and analytics may be restricted;
your content may be hidden from public view and may be permanently deleted, at Tunnme’s sole discretion, in accordance with Tunnme’s data retention and storage policies.

If your content is deleted due to inactivity following membership expiration, you will need to re-upload it upon reactivation of your membership. Existing Learners will continue to have access to any videos they previously purchased for at least 12 months from the original purchase date, in accordance with these Terms, including the minimum access period described herein. Tunnme may, at its sole discretion, introduce a grace period or similar feature in the future. Any such change will be communicated in advance and will apply only as expressly stated at that time.

8. Tax Obligations

Each Earner is solely responsible for determining, reporting, and paying any taxes that may apply to earnings generated through Tunnme, according to the tax laws of their country of residence. Tunnme and KO Technologies LLC do not provide tax advice and are not responsible for withholding, collecting, or remitting any taxes on behalf of Earners, except where legally required. Tunnme partners with Stripe as its payment processor. Stripe may request certain tax information (such as Form W-9 for U.S. persons or Form W-8BEN for non-U.S. persons) to comply with applicable regulations, including those of the U.S. Internal Revenue Service (IRS) and international tax authorities. Failure to provide accurate or complete tax information may result in delayed or suspended payouts until compliance is achieved. Earners agree to indemnify and hold Tunnme harmless from any claims, penalties, or liabilities arising from their failure to meet tax obligations.

9. Supported Payout Countries

Payouts to Earners are processed through Stripe and are only available in countries where Stripe’s payout services are supported. However, at the initial launch of the platform, payouts may be limited to Earners with valid payout methods in the United States. Earners must have a valid bank account or payout method in a supported country to receive funds. If an Earner is located in a country that is not currently supported for payouts, they may still create an account and upload content, but payouts will remain pending until payout availability is expanded or an alternative payout solution is provided by Tunnme. Tunnme reserves the right to modify, restrict, or expand payout availability at any time and will notify users in advance where required.

10. Content Ownership and License

Earners retain full ownership of their content and all associated intellectual property rights. Services provided through the platform do not transfer ownership of any underlying intellectual property unless explicitly stated by the Earner. By uploading content to Tunnme, you grant Tunnme a limited, non-exclusive, worldwide, royalty-free license to host, stream, and display your content to users who have purchased access. This license remains in effect for as long as necessary to provide access to Learners under these Terms, even if you later remove or deactivate your content or account. If you choose to delete or unpublish your videos, Tunnme will ensure that no new purchases are allowed, but existing Learners will continue to have access for at least 12 months from the original purchase date, or for a longer period if Tunnme decides to extend access availability. After the guaranteed access period has passed, Tunnme may continue to host and display your content at its discretion, as long as it remains active, available for purchase, or relevant to Learners. Tunnme reserves the right to remove or restrict content at its sole discretion without liability. If Tunnme decides to remove the content for operational, policy, or storage reasons, it will be removed from public access and deleted in accordance with our Privacy Policy and applicable operational, legal, and storage practices, with reasonable prior notice provided to affected Learners before permanent removal. This clause remains in effect even if you later remove your content or terminate your account, to the extent necessary to honor prior Learner purchases and any ongoing access periods.

11. Prohibited Conduct and Content Responsibility

Users are solely responsible for the content they upload, publish, or share through Tunnme. By using the platform, you confirm that your content complies with all applicable laws and does not infringe any third-party rights, including copyright, privacy, or publicity rights. Tunnme allows a wide range of creative and educational content, as long as it complies with these Terms and our Community Guidelines. However, the following are strictly prohibited:

Uploading or distributing illegal, harmful, or infringing material.
Sharing or promoting hate speech, discrimination, or violence.
Uploading adult or sexually explicit content involving minors, violence, or non-consensual acts.
Engaging in fraud, impersonation, or misrepresentation.
Attempting to hack, reverse-engineer, or interfere with Tunnme’s systems.
Circumventing payment systems or conducting off-platform transactions related to Tunnme content.
Recording, reproducing, distributing, or sharing live sessions (in whole or in part) without authorization from the Earner or Tunnme.

Tunnme does not pre-screen or endorse user-generated content and is not responsible for any materials uploaded by Earners or Learners. However, Tunnme reserves the right to remove, restrict, or report content that violates these Terms, applicable laws, or third-party rights, and to suspend or terminate any account involved in such violations. Users acknowledge that by uploading content, they assume full legal and moral responsibility for that content, including any consequences arising from its publication or distribution through Tunnme.

12. Refunds

All purchases of content or services, as well as membership fees, are final and non-refundable, except in cases of verified technical issues as defined in our Refund Policy.

13. Privacy

We respect your privacy and handle your personal data according to our Privacy Policy. Please review it carefully to understand how your data is collected, used, and protected.

14. Future Services and Features

Tunnme may introduce new services, tools, or features over time to enhance the platform experience. These may include, without limitation:

live or interactive video formats;
one-on-one or group-based sessions;
real-time or on-demand interactions;
new content formats, monetization tools, or creator features.

Such services may be introduced gradually and may not be available to all users, in all regions, or at all times. Each new feature or service may be subject to additional terms, pricing structures, or usage conditions, which will be disclosed at the time of availability.

15. Termination and Suspension

Tunnme reserves the right to suspend or terminate your account at any time if:

You violate these Terms or our Community Guidelines.
You engage in fraudulent, abusive, or illegal activity.

Users who believe their account was suspended, restricted, or terminated in error may submit a written appeal to [email protected]. Tunnme will review appeals in good faith and may request additional information or documentation as part of the review process. While response times may vary depending on the complexity of the matter, Tunnme will make commercially reasonable efforts to respond within 30 business days. Submission of an appeal does not guarantee reinstatement or reversal of any decision. You may also close your account at any time by contacting us at [email protected]. Upon termination, all provisions which by their nature should survive shall remain in effect, including but not limited to Limitation of Liability, Indemnification, and Dispute Resolution.

16. Limitation of Liability

Tunnme provides the platform and all related services on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Tunnme, its operator KO Technologies LLC, and their respective affiliates, directors, officers, employees, agents, and partners disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Tunnme does not warrant or guarantee that the Services will be uninterrupted, secure, error-free, or free of harmful components, nor does it guarantee the accuracy, completeness, or reliability of any content available on the platform. Tunnme shall not be responsible or liable for:

any content uploaded, published, or made available by Earners or other Users;
any transactions, interactions, or disputes between Users (including Learners and Earners);
any interruption, delay, or inability to access the Services;
any unauthorized access, hacking, data breach, or security incident beyond Tunnme’s reasonable control;
any third-party services, platforms, or providers integrated into or used in connection with Tunnme (including, without limitation, payment processors).

To the fullest extent permitted by applicable law, Tunnme shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, reputation, or business interruption, even if Tunnme has been advised of the possibility of such damages. Limitation of Liability Cap: To the fullest extent permitted by applicable law, Tunnme’s total aggregate liability arising out of or relating to these Terms or the use of the Services shall not exceed the total amount paid by you to Tunnme in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain warranty disclaimers or limitations of liability, so some of the above limitations may not apply to you to the extent prohibited by applicable law.

17. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of El Salvador, without regard to its conflict of law principles. The parties expressly agree that the selection of El Salvador as the governing law and arbitration venue is based on the fact that Tunnme is operated by KO Technologies LLC, and that its principal operations, including its management, strategic decision-making, and core service delivery functions, are conducted from El Salvador. Accordingly, the parties acknowledge that El Salvador has a real and substantial connection to these Terms and to the relationship between the parties. Any dispute, claim, or controversy arising out of or relating to these Terms, including their interpretation, enforcement, breach, termination, or validity, shall be resolved exclusively through binding arbitration administered by the Mediation and Arbitration Center of the Chamber of Commerce and Industry of El Salvador, in accordance with its rules in effect at the time the dispute is filed. The arbitration shall be seated in San Salvador, El Salvador, conducted in Spanish, and Users expressly acknowledge and accept this jurisdiction as a fundamental condition for accessing and using the platform. Each party shall bear its own costs, unless otherwise determined by the arbitration tribunal. The arbitration award shall be final and binding upon the parties and may be enforced in any court of competent jurisdiction. To the fullest extent permitted by applicable law, Users agree that any dispute resolution proceedings will be conducted solely on an individual basis and not as part of any class, collective, or representative action. Users expressly waive any right to participate in any class action lawsuit or class-wide arbitration. To the fullest extent permitted by applicable law, Users also waive any right to a trial by jury in any legal proceeding arising out of or related to these Terms. Notwithstanding the foregoing, Tunnme reserves the right to seek injunctive or provisional relief in any court of competent jurisdiction where necessary to protect its rights, intellectual property, or confidential information.

18. Modifications

Tunnme may update these Terms periodically. When changes occur, users will be notified via email or within the platform. Continued use of Tunnme after updates constitutes acceptance of the revised Terms.

19. Indemnification

You agree to defend, indemnify, and hold harmless Tunnme, its operator KO Technologies LLC, and its affiliates, directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:

your access to or use of the platform or Services;
your violation of these Terms;
any content you upload, publish, or make available through Tunnme;
your violation of any third-party rights, including intellectual property, privacy, or proprietary rights;
any dispute, transaction, or interaction between you and another User (including Learners and Earners).

Tunnme reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Tunnme in asserting any available defenses. This obligation will survive the termination or expiration of your account or these Terms.
